Terms of service

Provider and service scope

厦门佰亿莱网络科技有限公司 provides 互拓ERP for Amazon FBA sellers, covering orders, products, inventory, profit, replenishment, purchasing, receiving, local inventory and FBA inbound. Listing creation or editing, repricing, MFN inventory updates, advertising writes and other sales platforms are outside the service scope.

Business accounts and members

Customers must have authority to enter and perform the service arrangement and provide accurate, lawful account, company and store authorization information. Customers manage workspace members and business roles and promptly revoke access that is no longer needed. Members must protect their accounts and report suspected account misuse or unauthorized actions.

Full-product subscription and quotes

互拓ERP uses quote-based, full-product subscriptions. The subscription covers operating analysis and supply-chain execution without separate billing by module, member, Seller, store, synchronization count or other usage. Business roles, Amazon authorization and safety restrictions still apply.

Contact sales through the public email address for a written quote. The amount, currency, taxes, period, activation conditions, payment, renewal and support arrangements take effect as agreed. Trials, discounts, refunds or additional services apply only where explicitly agreed. Unlisted free allowances or prices are not promised.

Store authorization and external actions

Customers may connect only stores they are entitled to manage, through official Amazon OAuth. Do not send Seller Central passwords or authorization tokens. Seller access is managed within the workspace that validly owns the connection and by its authorized members.

An authorized person must explicitly confirm the Seller, marketplace, origin warehouse, SKUs, quantities and external effects before an FBA inbound action. Review the confirmation carefully. Revoked authorization, insufficient permissions or an incompatible business state prevents the corresponding operation.

Lawful use and customer information

Customers must have a lawful source and processing basis for information they upload, import or maintain. Do not submit unrelated sensitive information or Amazon buyer personal information. Do not bypass access controls, share unauthorized access, disrupt systems, transmit malicious code or infringe others’ rights. Subscription or administrator status does not disable security safeguards.

Data protection and confidentiality

Customer business information is used for authorized services and applicable obligations; using 互拓ERP does not transfer ownership of that information to us. We process information within the scope, purposes and safeguards described in the privacy policy. Customers and members must also protect account, business and other information they can access. Submit data requests through the privacy email for identity and authority verification.

Freshness and business outputs

Read synchronized records and calculations together with their sources, cutoff times, costs, fees, exchange rates and completeness status. Profit and replenishment outputs assist business decisions; missing inputs are not automatically zero. Customers should verify important records. 互拓ERP does not promise sales or returns and does not replace statutory accounting, tax or professional advisory services.

Maintenance and third-party dependencies

Support is available through the public email and agreed service channels. Maintenance, faults, networks or third-party changes may affect service. We investigate, recover and provide appropriate notices according to the impact. Amazon controls its own services, API rules and platform processing times. Support arrangements do not override platform authorization or safety requirements.

Renewal, expiry and termination

An expired trial or paid subscription, or a recognized payment grace status, receives seven days of read-only access. Authorized users may view and export existing local records but cannot continue Amazon synchronization or change business facts. Access ends after the grace period. Tenant suspension, security bans, member revocation and effective subscription suspension or cancellation do not receive this grace period.

Formal cancellation or termination destroys relevant authorization credentials under credential security rules; reconnection requires new authorization. Amazon information follows the triggers, 30-day deadline and legally required retention exceptions in the privacy policy. Account suspension does not replace deletion. Read-only grace or renewal arrangements cannot extend revoked Amazon authorization or a deletion deadline already triggered. Cancellation, settlement and refunds follow the valid service arrangement and applicable law.

Intellectual property and third-party names

Rights in 互拓ERP branding, website content and software belong to 厦门佰亿莱网络科技有限公司 or the relevant rights holders. Customers retain applicable rights in the business materials they provide. Amazon and related marks belong to their owners. Platform names describe supported use cases and do not imply Amazon certification, endorsement or a direct partnership.

Changes and disputes

The update date appears on this page. Material changes affecting an existing subscription are communicated and handled under the agreed terms and applicable requirements. A website update does not by itself change an agreed order price. Contact us first to discuss a dispute; unresolved matters may be taken to a competent authority under the valid agreement and applicable law. These terms do not exclude rights or liabilities that cannot lawfully be excluded.
